05 · Risks & Caveats

Stale-data note: Transfer tax rates, recording fees, and state-specific documentary stamp requirements reflect mid-2025 schedules. State good standing requirements and annual report deadlines change -- always verify current status via the applicable Secretary of State portal before closing. FIRPTA withholding rates and certification thresholds are under current IRS guidance; confirm any regulatory changes after August 2025.
