What it does

Takes the executed PSA, entity documents, and deal terms, then produces every instrument needed to close: authorizing resolutions, deed or membership interest assignment, assignment of leases and contracts, FIRPTA affidavit, 1031 exchange documents, and a master closing checklist with status and deadlines.

Why it matters

Closing document prep is where transactions fall apart at the last hour. A missing manager resolution, a lapsed entity certificate, or an unsigned QI assignment can push a closing by days and expose a 1031 exchanger to a failed exchange. The preparation work is repetitive but state-specific, entity-specific, and timing-critical.

How it's done today

Transactional attorneys build each document package from scratch, pulling prior templates from deal files, verifying operating agreement provisions against entity-specific checklists, and coordinating good standing orders with the paralegal. The senior attorney handles the entity chain analysis; the paralegal tracks deadlines in a shared spreadsheet that is rarely current.

When to use it

Reach for it

Activate when the PSA is executed and closing is being scheduled. Also use it when a 1031 exchange is in progress and QI assignment documents need to be sequenced against the Day 0, Day 45, and Day 180 deadlines.

Not the right tool

Do not use before the PSA is executed; pre-PSA drafts may not match the final conveyance method. For title commitment and Schedule B-I analysis, run title-commitment-reviewer first. For lease drafting unconnected to an ownership transfer, use lease-document-factory or lease-negotiation-analyzer.

Example use case

A sponsor is selling a nine-asset industrial portfolio through a Delaware LLC owned by a Texas holdco. The PSA requires closing in 30 days. The skill maps the two-tier entity chain, drafts manager resolutions for each entity, orders good standing certificates from Delaware and Texas, selects a special warranty deed, calculates transfer taxes in each property state, and prepares the FIRPTA non-foreign affidavit. It surfaces that one LLC missed its Texas annual report and flags the reinstatement cure path before the title company catches it at closing.

All output requires review by licensed counsel before execution. Transfer tax rates, documentary stamp schedules, and good standing lead times reflect mid-2025 state schedules and may have changed. FIRPTA withholding analysis is reference guidance only; foreign seller transactions require tax counsel sign-off. The skill does not file anything with a government agency or recorder.
